The Commercial Manager [CMA] is responsible for review, approval, and negotiation recommendations of all commercial contracts related to PipeCare. These contracts include but are not limited to partnership agreements, M&A agreements, sales and master service agreements (MSA), service partner agreements, supply chain agreements, and operational sub-contracting agreements. The CMA will ensure financial alignment with corporate goals, provide detailed recommendations for contract negotiations, and assess the financial risks and implications of any contract amendments or project delays.Key Responsibilities & Authorities - Review and approval of commercial contracts: Conduct in-depth reviews and provide recommendations for approval or negotiation of all commercial contracts related to Pipecare, ensuring alignment with financial policies and corporate objectives.
- Negotiation recommendations: Provide expert guidance and recommendations during contract negotiations for partnership agreements, M&A deals, sales contracts, MSAs, service partner agreements, supply chain agreements, and sub-contracting agreements.
- Contract amendment evaluation: Analyze and provide financial insights on the implications of any proposed contract modifications or project delays.
- Partnership and M&A agreements: Assist in the financial review and negotiation of partnership and M&A contracts, ensuring they align with the strategic and financial goals of Pipecare.
- Sales and service agreements: Review, approve, and provide negotiation recommendations on sales and service agreements, including MSAs, to ensure financial viability and compliance.
- Supply chain and subcontracting agreements: Oversee and provide recommendations for the negotiation and finalization of supply chain and operational sub-contracting agreements, ensuring efficiency and financial optimization.
- Compliance and regulatory oversight: Ensure that all contracts comply with tax, insurance, and regulatory requirements, including international taxation, currency hedging, and transfer pricing.
- Financial project oversight: Monitor and provide financial analysis on commercial project budgets, advising on budget utilization, and ensuring financial health across PC & LS contracts.
- Audit support: Contribute to the audit processes by ensuring that all reviewed contracts comply with internal and external financial audit requirements.
- Conduct technical interviews with potential employment applicants. Identify training requirements.
- Performs other duties as assigned by Pipecare CFO within the job role.
Skills/Experience required.- Must have at least 10 years of experience in Finance in the leading oil and gas companies.
- Must have a Bachelor Degree in Finance/Accounting. Ideally qualified (CMA, CPA, ACCA, ACA)
- Strong business acumen.
- Must have experience within a Professional Services organization.
- Experience with the following important domain:
a. Commercial contracts review. b. Budgeting and financial reporting, including control and variance analysis. c. International taxation (withholding taxes and other taxes). d. Currency hedging and transfer pricing. e. Working in ERP environment. f. Maturity and ability to interact with all levels of management. Physical and Mental Requirements:
- Lifting and Carrying: Ability to lift and carry up to 50 pounds.
- Mobility: Must be able to walk and climb to perform duties, including maneuvering within a refinery or plant environment and accessing elevated platforms via ladders and stairwells.
- Communication: Sufficient clarity of speech and hearing, or other communication capabilities, to communicate effectively.
- Focus and Multitasking: Ability to maintain focus and multitask effectively.
- Safety Equipment: Must be able to wear safety equipment as required by the safety department for personal protection, if/where needed in manufacturing environments.
- Personal Mobility and Reflexes: Sufficient personal mobility and physical reflexes, with or without reasonable accommodations, to perform office duties and travel to off-site locations when necessary.
